ISS on Thursday said that flaws in the design of the 10-year option award, along with its sheer size, “overshadow the underlying rationale” of giving Mr Musk an outsized incentive to turn the electric car and battery company into one of the world’s biggest companies.

The Tesla boss’s stock-based compensation “sets the new high-water mark for an individual equity incentive award at a US public company”, it said.

The plan, which has already been approved by Tesla’s board, would put Mr Musk in line to receive stock worth up to $55.8bn over the next decade — though he would only earn the full amount if Tesla hits certain profitability targets and its stock market value tops $650bn, roughly 12 times its current level.

Based on the company’s own calculations, the options have a current value of more than $2.6bn. That far exceeds other landmark pay awards in the US, like the 10-year stock grant valued at $378m that Tim Cook was given after becoming chief executive of Apple.

Glass Lewis, another shareholder advisory firm that opposes the deal, has estimated the award is worth an even bigger $3.7bn to Mr Musk, using a different method of valuing the options.

The shareholder advisory groups often play an influential role in how investors cast their votes at company meetings. However, Tesla’s famously loyal shareholders have shown steadfast support for Mr Musk, despite a mixed record in hitting recent operational targets. Mr Musk, who owns just under 20 per cent of Tesla’s stock, has said he won’t vote on the proposal.

Mr Musk was paid a salary of just under $50,000 last year. His last big stock option award, a 10-year plan in 2012, was valued by the company at $78m at the time. After the huge gains in Tesla’s share price since then, the stock covered by that plan is now worth $1.7bn.

Tesla’s shares closed down 1 per cent at $329.10 on Thursday.
