代理人在指定的區(qū)域和期限內(nèi)代理商品的專營權(quán)即為一般代理。作為代理商,在談判中要強(qiáng)調(diào)自己對市場的了解,熟悉及在推銷中所做的努力。

代理協(xié)議談判中,銷量是關(guān)鍵問題之一。當(dāng)然,委托方在確定商品總額時也要避免過高或過低,指定區(qū)域也要適宜。

洽談代理協(xié)議,必須先確定各項重要的原則性條款。至于其他細(xì)節(jié)等,則應(yīng)放到后一步的具體談判時再談,不能舍本逐末。

import business表示的是“進(jìn)口業(yè)務(wù)”,與之相對應(yīng)的出口業(yè)務(wù)則應(yīng)該表示為export business。

We should be glad if you could consider our application to act as your agent.

如果貴方能考慮我方的申請,成為貴公司的代理,我們將非常高興。

We should be very pleased to represent you, if terms and conditions are right.

假如條件合適,我們很愿意做貴方代理。

in consideration of表示的意思是“考慮到,鑒于”,用法和意思上都比較接近與in view of.

agent代理分很多種形式,例如:總代理(General Agency),獨家代理(The Exclusive Agency or Sole Agency),傭金代理(Commission Agency)等。

代理協(xié)議

A:When do you expect to sign the agency agreement?

您打算何時簽訂代理協(xié)議呢?

B:Tomorrow will be OK.

明天就行。

The agency agreement has been drawn up for the period of one year.

為期一年的代理協(xié)議書已經(jīng)擬訂出來了。

I want to sign a sole agency agreement with you on this item for a period of 2 years.

我想和你們簽訂一項為期兩年的獨家代理協(xié)議。

I hope we can see eye to eye about the other terms of the agency then.

我希望到那時候我們能在代理協(xié)議的其他條款上取得一致意見。

場景應(yīng)用

經(jīng)過協(xié)商,卡梅隆先生準(zhǔn)備委托林強(qiáng)作為本公司在中國市場的獨家代理。達(dá)成口頭協(xié)議后雙方就細(xì)節(jié)進(jìn)行了進(jìn)一步的交談。

A:After careful consideration, we have decided to accept your proposal and appoint you as our agent.

B:That's good. It doesn't waste my breath. We're going to make best use of the favorable market conditions and increase the sales so as to justify the agency agreement between us.

A:As our sole agent, you are not to handle the same or similar products of other origins or re-export our goods to any other place outside China.

B:No, certainly not. That's reasonable restriction. And on your part, you will not supply your products to any other buyer in China within the validity of the sole agency agreement.

A:Yes. That goes without saying.

B:How long will the duration be?

A:Let's say two years to start with. After that the agreement can be renewed for a further period of two years if we both feel satisfied with it. Yes, one more thing. You'll have to forward us every three months a detailed report on current market conditions and the users' comments on our products.

B:We'd be glad to do so.

A:經(jīng)過仔細(xì)考慮,我們決定接受你方提議,委托你作為我們的代理人。

B:太好了,我總算沒有白費口舌。我們將充分利用有利的市場條件增加銷售,以證明我們之間的代理協(xié)議是正確的。

A:是的,這是不用多說的。

B:協(xié)議期限是多長?

A:作為開始我們先訂兩年吧。以后如果雙方感到滿意,可以續(xù)訂兩年。對了,還有一件事,每三個月你方要向我遞交一份當(dāng)前市場狀況和客戶對我產(chǎn)品意見的詳細(xì)報告。

B:我們將樂意去完成。

waste one's breath(白費口舌)

breath的本義是“呼吸”,在這兒比喻為人“說話時所費的力氣”。waste one's breath喻指“費盡唇舌去勸說某人或評說某事而未能奏效”。該習(xí)語后面往往跟介詞on sb./ sth.或-ing形式。例如:They won't listen, so don't waste your breath telling them.(他們不會聽的,所以不要和他們白費唇舌了。)

由于定價過于死板,代理的銷售額不夠理想。代理商將原因與廠家進(jìn)行了交流,并提出了自己的建議。

A:I'm sorry to say your annual turnover last year is not as satisfactory as we expected. What is the matter?

B:Please let me explain. We have always been trying to sell more, which is to our mutual benefit. But we found it difficult for us to push our sales further because the prices you quoted were too fixed. We had no freedom to adapt them to our customers. The situation is, however, that there was the growing competition from countries like Japan and Korea, whose products were good in quality and much cheaper than yours.

A:But the quality and designs of our products are of the first class with which few of others can compete.

B:I wish you could see their products before you say so. I think you would find a general reduction in prices very advisable if you wish to remain competitive in our market.

A:In your opinion, a reduction in prices is inevitable?

B:At least you should set a lower limit on your prices. Otherwise there would be little hope of finding a market for your products. I didn't want to twist your arm to do it. But you can have a fully consideration of my words.

A:Well, we will take your opinion into consideration and give you a reply after our research.

A:很抱歉,我不得不說你們?nèi)ツ甑匿N售額并不是很理想。究竟是怎么回事?

B:請聽我解釋,我們一直致力于銷售更多的產(chǎn)品,這也符合我們雙方的共同利益。但由于你們定的價格過于固定,使我們很難進(jìn)一步推銷你們的產(chǎn)品。我們根本沒有按顧客的要求調(diào)整價格的自由。而情況是,來自日本、韓國等國的競爭日益激烈,他們的產(chǎn)品質(zhì)量好,價格比你們的還要便宜得多。

A:但我們產(chǎn)品的質(zhì)量和設(shè)計都屬一流,無人能比。

B:我希望您能看看他們的產(chǎn)品再說這話。我認(rèn)為如果您想在我國市場繼續(xù)保持競爭力的話,實行降價是明智的。

A:那么您認(rèn)為降低價格是在所難免的了?

B:至少您應(yīng)定一個價格下調(diào)限度,否則,你們的產(chǎn)品很難找到市場。我并不是想強(qiáng)迫你們那么做,但你可以好好想想我說的。

A:好吧,我們會考慮您的意見,經(jīng)過研究后我們會給你們一個答復(fù)。

twist one's arm強(qiáng)迫某人做違背自己的意愿的事

單詞twist是“用力扭轉(zhuǎn)”的意思,一個人要是被別人把手臂擰到身后,會很難受的,所以該習(xí)語表示“給某人施加壓力,強(qiáng)迫某人做違背自己意愿的事。”例如:My son has been twisting my arm to let him take my car out on a date ever since he got his driver's license.(自從我兒子拿到駕駛執(zhí)照以來,他一直鬧著要我同意他開著我的車去約會。)
